Nayan Terms and Conditions

Introduction

These Terms & Conditions ("Terms") govern your use of the Nayan mobile application ("App") and related websites, support channels, and services (collectively, the "Service") offered by RAHSOU SIMPLE VIRAL GAMES PRIVATE LIMITED ("we", "us", "our"). By accessing or using the App or Service, you agree to these Terms and our Privacy Policy. If you disagree, please do not use the App or Service.

Acceptance of Terms

1.1 By using or accessing the App, you confirm that you accept and agree to be bound by these Terms, the Privacy Policy, and any other guidelines or policies we publish.

1.2 We may revise or modify these Terms at any time. For material changes, we will make reasonable efforts to provide notice. Your continued use after changes means you accept the revised Terms.

Service Description

2.1 The App provides meeting note-taking, audio capture, transcription, AI-generated summaries, subscriptions, and related features designed to help you capture and organize meeting content (collectively, the "Service").

2.2 You acknowledge that features, languages, summary formats, content, and availability may change, be added, paused, or removed at our discretion.

2.3 Nayan is a note-taking and summarization tool. We do not join meetings as a visible bot, and we are not responsible for the conduct, content, or policies of third-party conferencing or calendar services you use alongside the App.

Accounts & Eligibility

3.1 To use certain features, you must register an account and provide accurate, current, and complete information.

3.2 You are responsible for safeguarding your account credentials and for all activity under your account. You must notify us immediately at care@nayanapp.com if you suspect unauthorized access.

3.3 You must be at least 18 years old to register on the App. By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

3.4 If you are under 18, you shall not create an account. You may use the App only under parental or guardian supervision and only in accordance with applicable laws.

3.5 If you use the Service in a professional or workplace context, you represent that you are authorized to do so and that your use complies with applicable workplace, privacy, and recording laws.

3.6 We reserve the right to deny service, refuse registration, or suspend or terminate accounts in our discretion, including for breach of these Terms or suspected misuse.

Device Permissions & Meeting Features

4.1 To deliver meeting notes and summaries, the App may request permissions such as microphone access, storage, background operation, and network access. You agree to grant only those permissions needed for features you choose to use.

4.2 Transcription and summary quality depend on your device settings, battery optimization, operating system version, network connectivity, audio clarity, and meeting environment. We do not guarantee that every meeting will be captured completely, that processing will be instantaneous, or that summaries will always be accurate or complete.

4.3 You are solely responsible for obtaining any required consent from meeting participants before recording or processing audio, and for verifying important decisions or action items through your own records. Nayan summaries are informational aids only and must not be treated as official meeting minutes or a substitute for your own verification.

4.4 Third-party conferencing, calendar, or productivity tools are operated by their respective providers. Your use of those services is governed by their terms and policies. We are not responsible for outages, delays, errors, or policy changes by those providers.

Acceptable Use & Restrictions

5.1 You agree not to:

• Copy, modify, distribute, or create derivative works of the App or its content except through features we provide
• Reverse engineer, decompile, or attempt to extract source code from the App, except where applicable law expressly permits
• Use bots, scrapers, or automated systems to access the Service without our written permission
• Use the Service for unlawful purposes, fraud, or to record or process audio without required consent
• Resell, sublicense, or commercially exploit the Service without our permission
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Impersonate Nayan, our staff, or any other person or entity
• Violate applicable laws or infringe the rights of others

5.2 We may suspend or ban accounts that violate these Terms or engage in abuse, hacking, or misconduct.

User Content & Conduct

6.1 You may submit content such as notes, feedback, support messages, or other materials you provide through the Service ("User Content"). You retain ownership of your User Content.

6.2 By submitting User Content, you grant us a non-exclusive, royalty-free, sublicensable, transferable license to use, display, reproduce, adapt, and distribute it in connection with operating, improving, and supporting the Service.

6.3 You represent that (i) you own or have rights to all User Content you submit, and (ii) such content does not violate laws, defame, infringe copyright, or violate privacy.

6.4 We may remove or moderate User Content that violates these Terms or applicable law, without prior notice.

Subscriptions, Purchases & Billing

7.1 Certain features may require a paid subscription or one-time purchase. Prices, billing cycles, and included features will be disclosed before you complete a purchase.

7.2 Purchases made through the App may be processed by app store providers (such as Google Play) or other payment partners. Their terms may also apply to your transaction.

7.3 Subscriptions may renew automatically unless cancelled before the end of the current billing period through the applicable app store or as otherwise instructed in the App. You are responsible for managing renewals and cancellations.

7.4 Taxes may apply based on your location and the information you provide at the time of purchase.

7.5 We may change pricing or plans with reasonable notice where required. Continued use after a price change constitutes acceptance unless you cancel before the change takes effect.

Termination

8.1 We may suspend or terminate your access for breach of these Terms, repeated infringement, misuse, non-payment, or as required by law.

8.2 Upon termination, your right to use the Service ends immediately. We may delete or block your data subject to our Privacy Policy and data retention practices.

8.3 You may stop using the Service at any time and may request account deletion by contacting care@nayanapp.com.

Intellectual Property

9.1 All content, software, designs, trademarks, and other materials in the App ("App Content") are owned or licensed by us. All rights are reserved except as expressly granted in these Terms.

9.2 We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the App for its intended purpose in accordance with these Terms.

9.3 You must not use Nayan trademarks, logos, or proprietary marks without our prior written consent.

Disclaimers & Warranty

10.1 The Service and App Content are provided "as is" and "as available," without warranties of any kind, whether express or implied.

10.2 We do not guarantee uninterrupted, error-free, or secure operation of the Service, or the accuracy, reliability, or completeness of transcripts, summaries, or any content.

10.3 To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, we (and our officers, employees, affiliates, and partners) will not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of the Service, missed or incomplete captures, reliance on summary content, loss of business revenue, or disputes with colleagues or third parties, even if advised of the possibility of such damages.

Where liability cannot be excluded, our total liability for any claim arising out of these Terms or the Service shall not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim, or INR 1,000, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless RAHSOU SIMPLE VIRAL GAMES PRIVATE LIMITED, its affiliates, officers, directors, and employees from any claims, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your infringement of third-party rights, including intellectual property or privacy rights
• Your recording or processing of meetings without required consent from participants

Eligibility & Representations

You affirm that you are legally competent to enter into these Terms, that you are not barred from receiving services under applicable laws, and that you are not listed on any applicable denied-party or sanctions list that would prohibit your use of the Service.

Assignment

These Terms, and your rights under them, may not be transferred or delegated by you without our consent. We may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Governing Law & Dispute Resolution

These Terms are governed by the laws of India (excluding conflict-of-law principles). Any dispute shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

Refund Policy

Purchases and subscriptions are subject to our refund and cancellation rules. Unless required by applicable law or expressly approved by us, fees are generally non-refundable. Read more in our Return, Refund and Cancellation Policy.

Communication Consent

By creating an account or providing your contact details, you acknowledge that we may contact you for account-related, transactional, operational, and customer-support purposes through channels including:

• SMS
• WhatsApp
• RCS (Rich Communication Services)
• Phone calls
• Email and in-app notifications

These communications may include OTP verification, subscription updates, payment confirmations, service announcements, or critical operational updates required for uninterrupted access to Nayan.

Promotional communication may be sent only if you have opted in. You may withdraw consent for promotional communication at any time by contacting care@nayanapp.com or using opt-out options where provided.

Modifications to Terms

We may modify these Terms at any time. For material changes, we will attempt to notify you in advance through the App or other reasonable means. Continued use of the App after modifications constitutes acceptance of the updated Terms.
